Yacademy LLC is the promoter of the race series known as the “Yacademy Winter Series” which will host events at select race tracks in the State of Florida on select dates from December 2020 through March 2021. These events are intended for skilled drivers and they must wear appropriate safety apparel with a helmet with a minimum Snell rating of 2015. The events will take place rain or shine, and drivers are responsible to arrange, negotiate, and enter into agreements with a respective vehicle owner for participation in the Yacademy Winter Series. Drivers and Owners are hereinafter collectively known as “Participants”. Yacademy LLC does not provide any of the vehicles, equipment, or vehicle maintenance. Cancellation Policy: A full refund will be issued up until 7 days prior to the event. Within 7 days of an event no amount of the registration fee will be refunded. Yacademy LLC has the right to refuse entry or remove a participant from the track for any reason deemed necessary to maintain a safe environment. Participants removed will receive no refund. Yacademy LLC, its duly authorized agents and assigns, may use, on a non-exclusive basis, the participant’s name, likeness and performance, including photographs, images and sounds of the participant and/or any vehicle(s) which participant occupies in the Event, in any way, medium or material (including but not limited to broadcasts, radio, satellite signal, digital signal, film productions, audiotape productions, transmissions over the Internet) for promoting, advertising, or reporting Yacademy LLC Events, or related telecast or programming before, during and after such Event and participant does hereby relinquish to Yacademy LLC in perpetuity all rights for such purpose. A Parental Consent, Release and Waiver of Liability, Assumption of Risk, And Indemnity Agreement will be required for entry of each minor into the race track in substantially similar form as Exhibit A. All Participants and their guests will be required to sign a Release and Waiver of Liability and Assumption of Risk and Indemnity Agreement in substantially similar form as Exhibit B, and a Vehicle Damage Liability Acknowledgment in substantially similar form as Exhibit C. This Agreement and all obligations arising pursuant to this Agreement shall be governed by the laws of the State of Florida, excluding its conflicts of law rules, as though this Agreement was made and performed entirely within that State. Any dispute arising out of or relating to the making or performance of this Agreement shall be resolved in the State or Federal courts in the State of Florida. The parties hereby expressly waive all defenses and objections related to personal jurisdiction or venue or inconvenient forum. The prevailing party shall be awarded its reasonable expenses and attorneys’ fees of the suit and collection of judgment. Any resulting judgment may be enforced in any jurisdiction where a party may be found. BY SIGNING BELOW, PARTICIPANT ACKNOWLEDGES AND AGREES TO BE BOUND BY ALL OF THE ABOVE TERMS AND CONDITIONS.

Exhibit A. PARENTAL CONSENT, RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT DESCRIPTION AND LOCATION OF EVENT. IN CONSIDERATION of my minor child (“the Minor”) being permitted in any way in the EVENT(S) and/or being permitted to enter as a driver in the EVENT(S) or to enter for any purpose any RESTRICTED AREA(S) (herein defined as including, but not limited to the racing surface, pit areas, infield, burn out area, approach area, shut down area, and all walkways, concessions, and other appurtenant areas where any activity related to the Event shall take place or where special authorization, permission, or credentials are required or where admittance to the general public is restricted or prohibited), I agree: 1. I know the nature of the EVENT(S) and the Minor’s experience and capabilities, and believe the Minor to be qualified to be a Driver in the EVENT(S) or to be in the RESTRICTED AREA(S). I will inspect the vehicles, premises, facilities, and equipment to be used, or with which the Minor may come in contact. IF I OR THE MINOR BELIEVE ANYTHING IS UNSAFE, I WILL INSTRUCT THE MINOR TO IMMEDIATELY LEAVE THE RESTRICTED AREA AND NOT TO PARTICIPATE IN THE EVENT(S). 2. I FULLY UNDERSTAND and will instruct the Minor that: (a) THE ACTIVITIES OF THE EVENT(S) ARE VERY DANGEROUS and driving in the EVENT(S) or entry into Restricted Areas involves RISKS AND DANGERS OF SERIOUS BODILY INJURY, INCLUDING PERMANENT DISABILITY, PARALYSIS, AND DEATH (“RISKS”); (b) these Risks and dangers may be caused by the Minor's own actions, or inactions, the actions or inactions of others participating in the Event(s), the rules of the Event(s), the condition and layout of the vehicles, premises and equipment, or THE NEGLIGENCE OF THE "RELEASEES" NAMED BELOW; (c) there may be OTHER RISKS NOT KNOWN TO ME or that are not readily foreseeable at this time; (d) THE SOCIAL AND ECONOMIC LOSSES and/or damages that could result from the Risk(s) COULD BE SEVERE AND COULD PERMANENTLY CHANGE THE MINOR'S FUTURE. 3. I consent to the Minor’s participation in the Event(s) and/or entry into restricted areas and HEREBY ACCEPT AND ASSUME ALL SUCH RISKS, KNOWN AND UNKNOWN, AND ASSUME ALL RESPONSIBILITY FOR THE LOSSES, COSTS AND/OR DAMAGES FOLLOWING SUCH INJURY, DISABILITY, PARALYSIS OR DEATH. EVEN IF CAUSED, IN WHOLE OR IN PART, BY THE NEGLIGENCE OF THE “RELEASEES” NAMED BELOW. 4. I HEREBY RELEASE, DISCHARGE, AND COVENANT NOT TO SUE Yacademy LLC, the promoters, participants, track operators, track owners, officials, car owners, drivers, pit crews, rescue personnel, any persons in any Restricted Area, promoters, sponsors, advertisers, owners and lessees of premises used to conduct the Event(s), premises or event inspectors, surveyors, underwriters, consultants and other person or entities who give recommendations, directions, or instruction or engage in risk evaluation or loss control activities regarding the premises or Event(s) and each of them, their directors, officers, agents, and employees, all for the purposes herein referred to as “Releasees,” FROM ALL LIABILITY TO ME, THE MINOR, my and the minor’s personal representatives, assigns, heirs, and next of kin, FOR ANY AND ALL CLAIMS, DEMANDS, LOSSES, OR DAMAGES, ON ACCOUNT OF ANY INJURY TO ME OR THE MINOR, including, but not limited to, death or damage to property, CAUSED OR ALLEGED TO BE CAUSED, IN WHOLE OR IN PART, BY THE NEGLIGENCE OF THE “RELEASEES” OR OTHERWISE. 5. . Exhibit B. RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNITY AGREEMENT DESCRIPTION AND LOCATION OF EVENT IN CONSIDERATION of being permitted in the race tracks for any of the Yacademy Winter Series events (hereinafter referred to as “Event”), to enter for any purposes the RESTRICTED AREA (herein defined as including, but not limited to the racing surface, pit areas, infield, burn out area, approach area, shut down area, and all walkways, concessions, and other appurtenant areas where any activity related to the Event shall take place or where special authorization, permission, or credentials are required or where admittance to the general public is restricted or prohibited), or to compete, officiate, observe, work for, or for any purpose participate in any way in the Event, you, for yourself and personal representatives, assigns, heirs, and next of kin: 1. ACKNOWLEDGES, agrees, and represents that the Undersigned has, or will immediately upon entering and continuously thereafter, inspect such RESTRICTED AREA and does further warrant that the Undersigned's participation in the scheduled Event and entrance upon the RESTRICTED AREA, constitute an acknowledgment that the Undersigned has inspected the RESTRICTED AREA and that it is safe and reasonably suited for the purposes of which it intends to use it, and further agrees and warrants that if, at any time the Undersigned is in or about RESTRICTED AREAS and feels anything to be unsafe, the Undersigned will immediately advise the OFFICIALS of such and will leave the RESTRICTED AREAS. 2. HEREBY RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE the promoters, Yacademy LLC, or any subdivision thereof, track operators, track owners, officials, drivers, pit crews, participants, any persons in the RESTRICTED AREA, rescue personnel, sponsors, and advertisers, used to conduct the Event, premises and Event inspectors, surveyors, underwriters, consultants, and others who offer recommendations, directions, or instructions or engage in risk evaluation or loss control activities regarding the premises or EVENT(S), and each of them, their officers, directors, agents, and employees, all for purposes herein referred to as RELEASEES, FROM ALL LIABILITY TO THE UNDERSIGNED, the Undersigned's personal representatives, assigns, heirs, and next of kin FOR ALL LOSS OR DAMAGE, AND ANY CLAIM OR DEMANDS THEREFOR ON ACCOUNT OF INJURY TO THE PERSON OR PROPERTY OR RESULTING IN DEATH OF THE UNDERSIGNED, WHETHER CAUSED BY THE NEGLIGENCE OF RELEASEES OR OTHERWISE, while the Undersigned is in or upon the RESTRICTED AREA, and/or competing, officiating, observing, working for, or for any purpose participating in such event. 3. HEREBY AGREES TO be responsible for, to hold harmless, indemnify and to defend the Releasees (as that term is defined above) from any and all claims, including reasonable attorney’s fees and costs, of liability whether by reason of injury to or death of the person or of damage to the property of another or otherwise arising in connection with any use of the RESTRICTED AREA by the undersigned. The obligations of the undersigned hereunder shall extend to claims alleging Releasees’ partial or sole negligence. 4. HEREBY ASSUMES FULL RESPONSIBILITY FOR AND RISK OF BODILY INJURY, DEATH, OR PROPERTY DAMAGE due to negligence of Releasees or otherwise while in or upon the RESTRICTED AREA, and/or while competing, officiating, observing, working for, or for any purpose participating in such Event; 5. THE UNDERSIGNED expressly acknowledges that the ACTIVITIES OF THE EVENT ARE VERY DANGEROUS and involve the risk of serious injury and/or death and/or property damage.

THE UNDERSIGNED expressly acknowledges that the ACTIVITIES OF THE EVENT ARE VERY DANGEROUS and involve the risk of serious injury and/or death and/or property damage. 6.THE UNDERSIGNED further expressly agrees that this Release and Waiver of Liability, Assumption of Risk, Indemnity Agreement and Insurance Requirements, extends to all acts of negligence by the Releasees, INCLUDING NEGLIGENT RESCUE OPERATIONS and is intended to be as broad and inclusive as is permitted by Federal and State law, and that if any portion thereof is held invalid, it is agreed that the balance, notwithstanding, shall continue in full legal force and effect. Exhibit C VEHICLE DAMAGE LIABILITY ACKNOWLEDGMENT DESCRIPTION AND LOCATION OF EVENT The financial risk of a crash is enormous – it can be the entire value of one or more vehicles on the track. By using your own vehicle in the Event, you need to understand your crash damage liability. In order for you to participate in the Event, you hereby agree, by signing this form in the space provided below, that you will be liable for any crash damage caused to your vehicle, whether while driving the vehicle or while your vehicle is being driven by a permissive user, regardless of cause or fault, (collectively termed “Damage”). to the terms & conditions. This Agreement and all obligations arising pursuant to this Agreement shall be governed by the laws of the State of Florida, excluding its conflicts of law rules, as though this Agreement was made and performed entirely within that State.
